This senior corporate services position of Associate General Counsel (“AGC”) reports directly to the Senior Vice President and General Counsel (“SVP and GC”), works directly with Executive Committee members and may also work with AHS’ Board committees. The AGC provides advice to senior executive on highly complex matters and works independently in making significant decisions respecting allocation of risk in corporate and commercial law, and related matters.
The AGC position location is negotiable in either of the Legal & Privacy offices in Calgary or Edmonton.
The AGC is responsible for the following:
1) Provision of corporate and commercial legal services to all AHS’ departments as follows: Ensures the delivery of appropriate, business-oriented legal solutions to all AHS’ departments and to all levels within AHS (including the Executive). Uses legal expertise and operations knowledge to appropriately advise AHS’ departments and to make decisions. Maintains a collaborative practice within the organization and with external stakeholders (including Alberta Health, Alberta Medical Association, Canadian Medical Protective Association, Alberta Infrastructure, Alberta Justice and universities). Obtains and manages required input from applicable stakeholders. Manages and directs highly complex legal matters which affect AHS province-wide and which are often high-risk and politically and/or publicly sensitive (including media). Participates in AHS’ strategic planning and implementation by working with the SVP and GC and other senior management to achieve sound legal and operational solutions. Makes recommendations and provides advice respecting allocation of risk in significant commercial contracts, corporate law matters and other related legal matters. Provides advice on legal matters dealing with the corporate structure of AHS and its subsidiaries.
2)Administration and management of the Corporate/Commercial Law Department within the Legal & Privacy Division as follows: Manages and provides leadership to a team of subject-matter expert lawyers with varying levels of legal expertise and other professional and non-professional staff (includes legal oversight, guidance, interviewing/hiring, performance evaluation, mentoring) and manages and oversees external legal counsel, including the management of legal costs and expenses on a file-by-file basis. Assumes responsibility for the advice provided and work performed by legal counsel and staff reporting to the AGC. If required, accepts responsibility as Acting SVP and GC when the SVP and GC is away from the office. Participates in the Legal & Privacy Division’s strategic planning, including development of KPIs and metrics, budgeting, forecasting, and overseeing other projects (including technology) as assigned. Prepares high-level reports on significant AHS legal matters for the SVP and GC and the Executive. Receives and addresses requests for legal services from all AHS departments, manages legal resources and assigns legal work as appropriate within his/her legal team(s) and to external counsel. Provides guidance and decision making for lawyers and acts as the escalation point for high-risk issues.
3)Supporting and briefing the SVP and GC.
The major accountabilities of this position include the following:
1)Providing legal leadership to AHS’ departments and Executive by:Drawing on experience, knowledge and training to effectively problem-solve difficult, complex and often highly sensitive situations with the aim to provide practical, meaningful and effective legal advice. Identifying and making recommendations to mitigate legal, financial and reputational risks, including recommendations on legally acceptable courses of action to meet clients' requirements. Instructing and overseeing outside legal counsel representing AHS.Consulting with and providing advice to AHS' Executive, senior leadership and middle management in AHS' departments on complex matters, often of high sensitivity or impact.Collaborating with other members of the Legal & Privacy team.Ensuring delivery of legal solutions to, and fulfillment of, legal requirements of all AHS' departments.Understanding the business, operational and political implications of decisions.Managing all areas within assigned responsibility for the entire province.Providing legal advice and expertise on a diverse range of issues with expert judgment and experience to balance AHS' needs with its risk exposure.
2) Providing team leadership by: Leading a team of highly skilled subject-matter expert lawyers by delegating appropriate authority and responsibility to them, and supporting their efforts to take responsibility and develop confidence to make their own decisions. Providing guidance and direction to maintain high performance and motivation among staff within Legal & Privacy. Providing managerial support and leadership to a team of 14 lawyers and 5 legal assistants.
3) Providing strategic planning by: Contributing to the development of Legal & Privacy’s strategic plans and the establishment of priorities for the division’s business plan. Ensuring legal advice is in accordance with AHS’ values and overall strategic plan. Contributing, with the senior leadership team, to the development, implementation and compliance of AHS’ strategic plans. Developing effective processes within the Corporate/Commercial Law Department.
Salary/Benefits: This position is classified as a M4-1. Minimum $136,500.00 to maximum $231,750.00 annually.
Minimum of an undergraduate degree and a law degree from a recognized university. Minimum of eight (8) years of legal practice experience in a law firm or in-house law department. Member in good standing of the Law Society of Alberta (as required by the provincial legislation). Subject area expert in highly specialized fields of law (Corporate and Commercial Law) and/or experienced expert in diverse areas of law, with demonstrated excellence as practicing lawyer; excellent legal and analytical skills. Proven ability to perform well in complex matters, prioritize and deal with multiple assignments, all under significant time constraints and other pressures. Proven ability to work with senior management. Ability to manage and lead professional legal teams. Demonstrated business acumen with ability to balance business requirements against legal risks, and formulate legal solutions to advance the needs of assigned client groups. Communicate effectively including delivery of presentations.
